1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MarketezeAI LTD (Company Number 16787865, registered in England and Wales) ("we", "us", or "our") governing your access to and use of the Marketeze.ai website and platform (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.

2. Service Description

Marketeze.ai is an AI-powered marketing automation platform designed to help small and medium-sized businesses create marketing strategies, generate content, track competitors, and analyse performance.

2.1 Current Status (Pre-Launch)

The Service is currently in development with a planned launch in November 2025. During this pre-launch phase, we offer a waitlist for early access notifications. By joining our waitlist, you consent to receive emails about our launch and updates.

2.2 Service Features (After Launch)

After launch, the Service will provide:

• AI-generated marketing strategies
• Automated content creation for blogs, social media, and emails
• Keyword research and SEO tools
• Competitor tracking and analysis
• Analytics and performance dashboards

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 16 years old to create an account. Accounts registered by "bots" or automated methods are not permitted.

4. Subscription Plans and Payments

4.1 Pricing

We offer multiple subscription tiers (Starter, Growth, and Pro) with monthly and annual billing options. Current pricing is available on our Pricing page. We reserve the right to change our pricing with 30 days' notice to existing subscribers.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all applicable fees. If automatic billing fails, we will attempt to notify you and may suspend your access until payment is received.

4.3 AI Credits

Each plan includes a monthly allocation of AI credits. Credits are used for AI operations such as strategy generation and content creation. Unused credits do not roll over to the next billing period. Additional credits may be purchased separately.

4.4 Refunds

All fees are non-refundable except as required by law or as expressly stated in these Terms. We do not provide refunds or credits for partial months of service or unused AI credits.

5. Cancellation and Termination

5.1 Your Right to Cancel

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that time.

5.2 Our Right to Terminate

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• Your payment fails and remains unpaid
• You engage in fraudulent or illegal activity
• We discontinue the Service (with 60 days' notice)

5.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data for 30 days in case you wish to reactivate. After 30 days, your data will be permanently deleted unless legally required to retain it.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Infringe on intellectual property rights of others
• Upload or distribute malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Use the Service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Generate content that is defamatory, obscene, or violates others' rights
• Impersonate others or provide false information

Violation of this policy may result in immediate termination of your account.

7. Intellectual Property Rights

7.1 Our Property

The Service, including all software, designs, text, graphics, and other content, is owned by MarketezeAI LTD and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain all ownership rights to content you create using the Service. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service.

7.3 AI-Generated Content

Content generated by our AI features is provided to you for your use. You are responsible for reviewing and ensuring AI-generated content complies with applicable laws and does not infringe on third-party rights.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• AI-generated content will be suitable for your purposes
• Any errors in the Service will be corrected

You acknowledge that AI-generated content may contain errors or inaccuracies and should be reviewed before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETEZEAI LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under English law.

10. Indemnification

You agree to indemnify and hold harmless MarketezeAI LTD, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create or submit through the Service

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

11.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of these Terms or the Service.

11.3 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@marketeze.ai to attempt to resolve the dispute informally.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MarketezeAI LTD regarding the Service.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
