Affiliate Terms & Conditions

1. Program Overview

These Affiliate Terms and Conditions ("Affiliate Terms") govern your participation in the Marketeze Partner Program ("Program") operated by MARKETEZEAI LTD, a company registered in England and Wales ("Company", "we", "us").

By joining the Program, you ("Affiliate", "you") agree to be bound by these Affiliate Terms in addition to our general Terms of Service.

Your participation in the Program creates an independent contractor relationship. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship between you and MARKETEZEAI LTD.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years old
• Have an active Marketeze account in good standing
• Comply with all applicable laws and regulations in your jurisdiction
• Provide accurate and complete information during registration

We reserve the right to accept or reject any affiliate application at our sole discretion. We may also require additional information or verification before approving your application.

3. Commission Structure

3.1 Commission Rate

Affiliates earn a 20% commission on all payments made by referred customers. This applies to all subscription plans, including Pro Monthly, Pro Annual, Diamond Monthly, Diamond Annual, and Diamond Lifetime.

3.2 Recurring Commissions

Commissions are recurring for the lifetime of the referred customer's subscription. As long as your referral remains a paying customer, you will continue to earn commissions on their payments.

3.3 Referred Customer Discount

Customers who sign up through an affiliate referral link automatically receive 10% off their first payment. This double-sided incentive benefits both the affiliate and the referred customer.

3.4 Commission Calculation

Commissions are calculated on the net payment amount after any discounts, refunds, or chargebacks. VAT and other taxes are excluded from the commission calculation.

4. Cookie & Attribution

4.1 Cookie Duration

Referral cookies are valid for 60 days from the date a potential customer clicks your affiliate link. If the customer subscribes within this window, the referral is attributed to you.

4.2 Attribution Model

We use a last-touch attribution model. If a customer clicks multiple affiliate links, the commission is attributed to the last affiliate whose link was clicked before the purchase.

4.3 Tracking

Affiliate tracking is managed through our third-party affiliate platform (Rewardful). You can monitor your clicks, conversions, and earnings in real-time through your affiliate dashboard.

5. Payment Terms

5.1 Payment Method

Commissions are paid via PayPal. You must maintain a valid PayPal account to receive payments.

5.2 Payment Schedule

Commissions are paid on a monthly basis, typically within the first 15 days of each month for the previous month's confirmed commissions.

5.3 Minimum Payout

The minimum payout threshold is £30. If your accumulated commissions do not reach this threshold, they will roll over to the next payment period.

5.4 Tax Obligations

You are solely responsible for reporting and paying any taxes on your affiliate earnings in accordance with the laws of your jurisdiction. MARKETEZEAI LTD does not withhold taxes on affiliate commissions.

6. Promotional Guidelines

6.1 Approved Promotional Methods

You may promote Marketeze through the following channels:

• Your personal or business website or blog
• Social media platforms (with proper disclosure)
• Email newsletters (to your own opted-in subscribers only)
• Content creation (reviews, tutorials, comparisons)
• Direct recommendations to clients and contacts

6.2 FTC Disclosure Requirements

You must clearly disclose your affiliate relationship with Marketeze in all promotional content. This disclosure must be:

• Clear and conspicuous — easily noticeable by consumers
• Close to the affiliate link or recommendation
• Honest — stating that you may earn a commission from referrals

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the Program and forfeiture of unpaid commissions:

• Bidding on Marketeze brand terms or variations in paid search advertising (Google Ads, Bing Ads, etc.)
• Sending unsolicited emails, messages, or communications (spam) to promote Marketeze
• Cookie stuffing or any technique that sets affiliate cookies without genuine user interaction
• Making false, misleading, or exaggerated claims about Marketeze's features, pricing, or results
• Self-referrals — using your own affiliate link to purchase subscriptions for yourself or your own accounts
• Offering cash-back, rebates, or other financial incentives to users who click your affiliate link (unless expressly approved by us)
• Using Marketeze trademarks in domain names, social media handles, or ad copy without written permission
• Using malware, adware, or browser extensions to generate referrals
• Impersonating Marketeze, its employees, or its official communications

8. Intellectual Property

MARKETEZEAI LTD retains all rights to the Marketeze brand, logos, trademarks, and marketing materials.

We may provide approved marketing materials (banners, copy, images) for your use in promoting the Program. You may only use these materials as provided and may not modify them without written permission.

You may not register domain names, social media accounts, or other online identifiers that include "Marketeze" or confusingly similar variations.

9. Commission Reversals

Commissions may be reversed in the following circumstances:

• The referred customer receives a refund within our refund policy period
• A chargeback is initiated on the referred customer's payment
• The referral is determined to be fraudulent or in violation of these Affiliate Terms
• The referred customer already had an existing Marketeze account

Reversed commissions will be deducted from your next payout. If your balance is insufficient, you may be required to return the overpayment.

10. Termination

10.1 Termination for Cause

We may terminate your participation in the Program immediately and without notice if you violate any provision of these Affiliate Terms, engage in fraudulent activity, or bring the Marketeze brand into disrepute.

10.2 Termination Without Cause

Either party may terminate participation in the Program at any time with 30 days' written notice, without cause.

10.3 Effect of Termination

Upon termination, you must immediately cease all promotional activities and remove all affiliate links. Commissions earned before termination will be paid out according to the normal payment schedule, provided they meet the minimum payout threshold and are not subject to reversal. Unpaid commissions below the minimum threshold will be forfeited.

11. Data Privacy

Both parties agree to comply with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

You must not collect, store, or process personal data of Marketeze users beyond what is necessary for your affiliate activities and in accordance with applicable law.

Any personal data shared between the parties shall be processed in accordance with our Privacy Policy.

12. Indemnification

You agree to indemnify, defend, and hold harmless MARKETEZEAI LTD, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Affiliate Terms
• Your promotional activities or content
• Your failure to comply with tax obligations
• Any third-party claims related to your affiliate activities

13. Limitation of Liability

To the maximum extent permitted by law, MARKETEZEAI LTD's total liability to you under or in connection with the Program shall not exceed the total commissions paid to you in the twelve (12) months preceding the event giving rise to the claim.

MARKETEZEAI LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your participation in the Program.

14. Governing Law

These Affiliate Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from or relating to these Affiliate Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Amendments

We reserve the right to modify these Affiliate Terms at any time. We will provide at least 30 days' notice of material changes via email or through the affiliate dashboard.

Your continued participation in the Program after the effective date of any changes constitutes acceptance of the modified terms. If you do not agree with the changes, you may terminate your participation before the effective date.

16. Entire Agreement

These Affiliate Terms, together with the Marketeze Terms of Service and Privacy Policy, constitute the entire agreement between you and MARKETEZEAI LTD regarding your participation in the Partner Program.

These Affiliate Terms supersede any prior agreements, representations, or understandings relating to the Program.
